Terms of Service

KoruAI Trades Systems (“the Service”) is workflow automation software built for NZ trades businesses — plumbing, electrical (incl. EWRB-registered), gasfitting (PGDB), and HVAC — with job management, scheduling and AI-assisted admin features.

Plan features, pricing, and supported trade types are listed on the Pricing page; that page forms part of these Terms.

The Service is operated by KoruAI Trades Systems Limited (“we”, “us” or “our”). By creating an account or using the Service, you (“you” or “the Customer”) agree to these Terms.

You must provide accurate account information and keep your credentials secure. You are responsible for activity on your account.

You agree not to use the Service: (a) for any unlawful purpose or in breach of the NZ Spam Act 2003, Fair Trading Act 1986, or Privacy Act 2020; (b) to upload malicious code or attempt to disrupt the Service for other users; (c) to reverse-engineer, decompile, or extract source code except to the extent expressly permitted by NZ law; or (d) to resell the Service without our written agreement.

You retain responsibility for the data you submit to the Service and must have the right to share it with us.

Paid plans are billed in New Zealand Dollars (NZD). Prices include GST where GST is applicable under NZ tax law.

See the Pricing page for current plan tiers, inclusions, and billing cadence. Subscriptions renew automatically for the period you select until cancelled.

Refunds and pro-rata credits are handled per our published billing policy; we may update that policy with reasonable notice.

We (and our licensors) retain all intellectual property rights in the Service, including software, design, trademarks, and the KoruAI Trades Systems name and logo.

You retain ownership of the customer data you upload (job records, customer details, photos, notes). You grant us a limited licence to use that data to operate the Service for you and to improve it.

Feedback or suggestions you send us may be used freely to improve the Service, without obligation of confidentiality or compensation.

To the maximum extent permitted by NZ law (including the Consumer Guarantees Act 1993 and the Fair Trading Act 1986), the Service is provided on an “as is” and “as available” basis.

We disclaim all express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are not lawful.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee or right you have under NZ law that cannot be excluded, restricted, or modified by agreement.

To the maximum extent permitted by NZ law, our total aggregate liability to you for any claim arising out of or in connection with the Service in any 12-month period is capped at the fees paid by you for the Service in that period.

We are not liable for indirect, consequential, incidental, special, or punitive damages, loss of profits, revenue, goodwill, or data, even if advised of the possibility of such damages.

Nothing in this section limits liability that cannot be excluded under NZ law (e.g. liability for death or personal injury caused by negligence, or for fraud).

You may cancel your subscription at any time from your account or by contacting us. We will provide a reasonable data-export window so you can retrieve your customer data.

We may suspend or terminate your access if you materially breach these Terms, if required by law, or if unpaid fees remain after a reasonable notice period.

On termination we may delete stored data after a reasonable retention window. Sections that by their nature should survive (including IP, liability cap, and governing law) survive termination.

We may update these Terms from time to time. The “Last updated” date at the bottom of this page reflects the current version.

For material changes, we will give you reasonable notice by email (using the address on file) and/or by an in-app notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of New Zealand. The parties submit to the non-exclusive jurisdiction of the New Zealand courts for any dispute arising out of or in connection with these Terms.

Before starting court proceedings, we encourage you to contact us to seek a good-faith resolution; many issues can be resolved quickly that way.
